Acceptance of the Terms

These Website Terms and Conditions are entered into by and between you and Arcwood Environmental, LLC and its affiliates and subsidiaries (“Arcwood,” “we,” or “us”). The following terms and conditions together with any documents they expressly incorporate by reference (collectively, the “Terms”) govern your access to and use of the websites arcwoodenviro.com, accessarcwood.com, portal.arcwoodenviro.com, store.arcwoodenviro.com, rinecodirect.com, and any other website provided by us (each, the “Website”), including any content, functionality, or services offered on or through the Website, whether as a guest or a registered user.

Please read the Terms carefully before you begin using the Website. By using the Website or by clicking to accept or agree to the Terms if this option is made available to you, you accept and agree to be bound and abide by the Terms and our Privacy Policy (found at https://arcwoodenviro.com/privacy-policy/) and incorporated herein by reference. Your access to and use of the content, functionality, or services offered on or through the Website is conditioned on your acceptance of and compliance with the Terms and our Privacy Policy. If you do not want to agree to the Terms or the Privacy Policy, you must not access or use the Website.

The Website is offered and available to users who are 18 years of age or older. By using the Website, you represent and warrant that you are  at least 18 years old and competent to form a binding contract with Arcwood. If you do not meet all these requirements, you must not access or use the Website.

As used in the Terms: the words “include,” “includes,” and “including” are not limiting and are deemed to be followed by the words “without limitation”; the word “or” is not exclusive; words denoting the singular have a comparable meaning when used in the plural, and vice-versa; and words denoting any gender include all genders.

YOU AGREE THAT THE TERMS REFLECT A FAIR AND REASONABLE ALLOCATION OF RISK BETWEEN ARCWOOD AND YOU.

Changes to the Terms

We may revise and update the Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Website thereafter. Your continued use of the Website following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently, so you are aware of any changes.

Accessing the Website and Account Security

We reserve the right to withdraw or amend the Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Website or the entire Website.

You are responsible for both:

  • Making all arrangements necessary for you to have access to the Website.
  • Ensuring that all persons who access the Website through your internet connection are aware of the Terms and comply with them.

To access the Website or some of the resources it offers, you may be asked to create an account or provide certain registration details or other information. You may also be required to provide additional information and appropriate payment information. It is a condition of your use of the Website that all the information you provide on the Website, including when registering for an account, is correct, current, and complete. You agree that all information you provide to register and account or otherwise, including using any interactive features on the Website, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a username, password, or other security-related information in connection with your account or as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You agree not to provide any other person or entity with access to any part of the Website using your username, password, or other security information. You agree to notify us immediately of any known or suspected unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit your account at the end of each session. You should use caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. You are responsible for all activities under your account, including those of any other user that you allow to access your account.

By registering for an account, you consent to receiving electronic communications from us that are related to your use of the Website or any of our services. You agree that all agreements, notices, disclosures, and other communications that we provide to you using the email you provide will satisfy any legal requirement that the same be in writing.

We have the right to cancel any account, and to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of the Terms.

Payment Card Authorization

If you elect to use the Website to make a payment to us, you hereby authorize us directly or through our third-party service providers to charge your payment card for each payment that you initiate through the Website. You represent and warrant that the payment information you provide is accurate, you are authorized to use the payment method provided, and you will notify us of changes to the payment information.

SMS

By opting into any of our text message programs, you acknowledge and agree:

  • You are expressly consenting to receiving automated mobile text (e.g., SMS, MMS, or successor protocols or technologies) messages/alerts (collectively, “Text Messages”) that may be sent using automated technology, including through an automatic telephone dialing system or autodialer. You “opt in” whenever you voluntarily provide us your mobile number via our web form, contact us via SMS message, or any other enrollment method provided by us for the purpose of receiving non-marketing communications, including information about environmental load logistics coordination, account notifications, appointment notifications, or related alerts. By opting in, you expressly consent to Arcwood sending you these Text Messages even if your mobile number is registered on any state or federal “Do Not Call” list.  You understand and acknowledge that providing consent to receive any of our Text Messages is not a condition of purchasing any goods or services and that your participation is completely voluntary.
  • You are 18 years of age or older and you are the current subscriber or authorized user of the mobile number you have provided. You agree that you will not use Arcwood to initiate messages to the mobile phone of any other person or entity without authorization. If you change, forfeit, or deactivate the phone number you have provided to us, you agree to notify us immediately. Failure to do so constitutes a material breach of these Terms.
  • Data obtained from you in connection with any of our text messaging programs may include your mobile phone number, your name, and any details you voluntarily you provide to Arcwood as part of our applicable text message program when opting in. We may use this information to contact you and provide services you request. We may also use this information as otherwise described in our privacy policy at https://arcwoodenviro.com/privacy-policy/.
  • You can cancel receiving applicable Text Messages by texting “STOP” in response to any Text Message received or to the (888)-550-9381, or contact us at arcwoodservicedesk@arcwoodenviro.com. After you send “STOP” message, we typically will send you another Text Message to confirm that you have been unsubscribed.  You may also opt-out of receiving Text Messages by calling (888) 550-9381.
  • To receive assistance regarding any text message program, you may text “HELP” in response to any Text Message received or to the (888) 550-9381, or contact us at legal@arcwoodenviro.com.
  • Message and data rates may apply for any Text Messages sent to you from us and to us from you. The maximum number of messages per month you will receive may vary based your activity or the text message program you have enrolled in. If you have any questions about your text or data plan, please contact your wireless provider.
  • Neither Arcwood nor any wireless carrier is liable for delayed or undelivered messages.

Intellectual Property Rights

The Website and its entire contents, features, and functionality (including all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Arcwood, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • If we provide social media features with certain content, you may take such actions as are enabled by such features.

You must not:

  • Modify copies of any materials from this site.
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.

You must not access or use any part of the Website or any services or materials available through the Website for any commercial purposes; provided that, if you have entered into a Master Services Agreement or other written agreement with us, then you may access and use the Website and the services and materials available through the Website in connection with your receipt or performance of services under such separate agreement.

Materials available on the Website may be subject to export controls imposed by the United States. You must not download or export materials in violation of United States export laws or the laws of your resident country. By downloading materials from the Website, you represent and warrant that you can do so in full compliance with the laws of the United States and your resident country.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website in breach of the Terms, your right to use the Website will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by Arcwood. Any use of the Website not expressly permitted by the Terms is a breach of the Terms and may violate copyright, trademark, and other laws.

Trademarks

Arcwood Environmental™, the Arcwood Environmental logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Arcwood or its affiliates. You must not use such marks without the prior written permission of Arcwood. All other names, logos, product and service names, designs, and slogans on the Website are the trademarks of their respective owners.

Prohibited Uses

You may use the Website only for lawful purposes and in accordance with the Terms. You agree not to use the Website:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including any laws regarding the export of data or software to and from the US or other countries).
  • To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out below in the Terms.
  • To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
  • To impersonate or attempt to impersonate Arcwood, an Arcwood employee, another user, or any other person or entity (including by using email addresses or screen names associated with any of the foregoing).
  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm Arcwood or users of the Website, or expose them to liability.

Additionally, you agree not to:

  • Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Website, including their ability to engage in real time activities through the Website.
  • Develop, support or use software, devices, scripts, robots or any other means or processes (such as crawlers, browser plugins and add-ons or any other technology) to scrape or copy the Website.
  • Use any manual process to monitor or copy any of the material on the Website, or for any other purpose not expressly authorized in the Terms.
  • Use any device, software, or routine that interferes with the proper working of the Website.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.
  • Attack the Website via a denial-of-service attack or a distributed denial-of-service attack.
  • Otherwise attempt to interfere with the proper working of the Website.

User Contributions

The Website may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Website. All User Contributions must comply with the Content Standards set out in the Terms.

Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Website, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

You represent and warrant that:

  • You own or control all rights in and to User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.
  • Your User Contributions do and will comply with the Terms.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not Arcwood, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Website, including any User Contributions that make you or any third party personally identifiable. We are not obligated to create backups of any User Contributions, and we may delete User Contributions at any time. You are solely responsible for creating backup copies of your User Contributions if you desire.

We have the right to:

  • Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
  • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for Arcwood.
  • Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
  • Take appropriate legal action, including referral to law enforcement, for any illegal or unauthorized use of the Website.
  • Terminate or suspend your access to all or part of the Website for any or no reason, including any violation of the Terms.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS ARCWOOD AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THEM DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY THEM OR BY LAW ENFORCEMENT AUTHORITIES.

However, we do not undertake to review material before it is posted on the Website and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Content Standards

These content standards apply to all User Contributions and use of message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

  • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with the Terms or our Privacy Policy.
  • Be likely to deceive any person.
  • Promote any illegal activity, or advocate, promote, or assist any unlawful act.
  • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
  • Impersonate any person or misrepresent your identity or affiliation with any person or organization.
  • Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
  • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

Feedback

If you submit ideas, suggestions, comments, or other feedback concerning the Website or any of our services (whether solicited or unsolicited), you agree that: Arcwood and our licensors and suppliers will be free to copy and use the feedback for any and all commercial and noncommercial purposes (including for marketing, advertising, promotion, and product or service development); the feedback submission is voluntary and consensual and is made without any condition or reservation of rights, including any condition of compensation, payment, credit, attribution, secrecy or confidentiality; the feedback does not give rise to any contractual, fiduciary, or confidential relationship of any kind (whether express or implied) between you and Arcwood or our licensors or suppliers; and the feedback may be used and retained indefinitely by us and our licensors and suppliers.

Copyright Infringement

We take claims of copyright infringement seriously. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any materials accessible on the Website infringe your copyright, you may request removal of those materials by submitting written notification to our copyright agent designated below. In accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512) (“DMCA”), the written notice must include substantially the following:

You hereby release and forever discharge us (and our officers, employees, agents, successors, and assigns) from, and hereby waive and relinquish, each and every past, present and future dispute, claim, controversy, demand, right, obligation, liability, action and cause of action of every kind and nature (including personal injury, death, and property damage), that has arisen or arises directly or indirectly out of, or relates directly or indirectly to, any interactions with, or act or omission of other users of the Website. IF YOU ARE A CALIFORNIA RESIDENT, YOU HEREBY WAIVE CALIFORNIA CIVIL CODE SECTION 1542 IN CONNECTION WITH THE FOREGOING, WHICH STATES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”

Indemnification

You agree to defend, indemnify, and hold harmless Arcwood, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of the Terms or your use of the Website, including your User Contributions, any use of the Website’s content, services, and products other than as expressly authorized in the Terms, or your use of any information obtained from the Website.

Governing Law and Jurisdiction

All matters relating to the Website and the Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Indiana without giving effect to any choice or conflict of law provision or rule (whether of the State of Indiana or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, the Terms or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Indiana, in each case located in Marion County, although we retain the right to bring any suit, action, or proceeding against you in any forum and any country where personal jurisdiction can be exercised. You waive all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THE TERMS OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Entire Agreement

The Terms and our Privacy Policy constitute the sole and entire agreement between you and Arcwood regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website. For purposes of clarity, if you have entered into Master Services Agreement or other written agreement with us, the Terms do not supersede or replace that agreement with respect to the subject matter of that Agreement. If any provision of the Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of the Terms, all of which shall remain in full force and effect. No waiver of any provision of the Terms shall be deemed a further or continuing waiver of such provision or a waiver of any other provision, and our failure to assert any right or provision under the Terms shall not constitute a waiver of such right or provision. Any provision of the Terms that by its nature survives the termination of the Terms shall survive such termination.
